This Customer Terms of Service is entered into by and between TalentFlux-AI and the entity or person accessing our Services. By accessing or using TalentFlux-AI, you agree to be bound by these Terms of Use.

The Services
Service Provision
Subject to your compliance with these Terms, TalentFlux-AI grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the subscription term.
TalentFlux-AI Ownership
TalentFlux-AI retains all rights, title, and interest in and to the Services, Platform, and all related technology, including all intellectual property rights. You acquire no ownership rights in the Services.
AI Features
Our Services include AI-powered features for candidate matching, job recommendations, and automated screening. These features are designed to assist, not replace, human judgment in hiring decisions.
Customer Data
Ownership
As between you and TalentFlux-AI, you retain all rights, title, and interest in and to your Customer Data. You grant TalentFlux-AI a limited license to use Customer Data solely to provide the Services.
Security
We implement administrative, technical, and physical safeguards designed to protect Customer Data. However, you are responsible for maintaining the security of your account credentials and for all activities under your account.
Restrictions and Responsibilities
Fees and Payment Terms
You agree to pay all fees as specified in your subscription plan. All fees are non-refundable except as required by law. We may change our fees upon 30 days' notice.
Term and Termination
This Agreement begins on the date you first access the Services and continues until terminated. Either party may terminate this Agreement for material breach if the breaching party fails to cure within 30 days of written notice.
Upon termination, your right to access the Services will immediately cease. We will make Customer Data available for download for a period of 30 days following termination.
Limitation of Liability
To the maximum extent permitted by law, TalentFlux-AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
AI System Limitations
The analysis, assessments, rankings, suggestions, or recommendations generated by TalentFlux-AI's AI system are for reference and decision support purposes only.
TalentFlux-AI does not guarantee that:

All disputes arising between parties using the Services shall be resolved by the parties themselves, without involving TalentFlux-AI's liability.
Service Interruption and Modification
TalentFlux-AI reserves the right to suspend, interrupt, or modify all or part of the Services when necessary for system maintenance, upgrades, incident resolution, or as required by competent authorities.
TalentFlux-AI is not liable for any damages arising from service interruption, delays, data loss, or inability to access Services in the aforementioned cases.
Force Majeure
TalentFlux-AI is not liable for failure to perform or delay in performing obligations due to force majeure events, including but not limited to: natural disasters, fires, pandemics, wars, riots, telecommunications infrastructure failures, large-scale cyberattacks, or decisions by competent government authorities.

Data Processing Agreement

This Data Processing Agreement ("DPA") forms an integral part of the TalentFlux-AI Terms of Service between the party named as Customer and TalentFlux-AI, reflecting the parties' agreement with regard to the processing of personal data.

Processing Obligations
TalentFlux-AI shall process Personal Data only on documented instructions from the Customer, unless required to do so by applicable law. We shall immediately inform the Customer if we believe an instruction violates Data Protection Laws.

Subprocessing
The Customer grants general authorization to TalentFlux-AI to engage subprocessors to provide parts of the Services. We maintain a current list of subprocessors and will notify the Customer of any intended changes to allow the Customer to object.
Data Subject Rights
TalentFlux-AI shall assist the Customer in responding to requests from data subjects to exercise their rights under Data Protection Laws, including rights of access, correction, deletion, and data portability.
Personal Data Breach
TalentFlux-AI shall notify the Customer without undue delay upon becoming aware of a Personal Data Breach affecting Company Personal Data, and shall provide reasonable assistance to the Customer in investigating and mitigating the breach.
